Basis for Qualified Conclusion

As disclosed in Note 18 to the accompanying interim financial information, the Company announced that Kuwait Airways Company, the ultimate parent company, had accepted the Company’s proposals for two projects with an aggregate disclosed value of KD 39,285,870. As at 30 June 2026, the formal contracts relating to these projects had not been signed. Based on written and verbal confirmations received, the Company commenced mobilisation activities, incurred project-related costs, placed purchase orders and made advance payments to suppliers. In the absence of duly executed contracts or other evidence establishing the enforceable rights and obligations of the parties, we were unable to determine the recoverability and appropriateness of the accounting treatment of the related costs and advance payments, or whether any adjustments or additional disclosures were required in the accompanying interim financial information.

كما هو مبين في الإيضاح رقم (18) حول المعلومات المالية المرحلية المكثفة المجمعة المرفقة، حيث تلقت الشركة إخطاراً من شركة الخطوط الجوية الكويتية، وهي الشركة الأم الرئيسية، بالموافقة على العرضين المقدمين من قبل شركة الأنظمة الآلية، بإجمالي قيم معلنة بلغت 39,285,870 دينار كويتي. كما في 30 يونيو 2026، لم تكن العقود الرسمية المتعلقة بهذين المشروعين قد تم توقيعها. واستناداً إلى التأكيدات الكتابية والشفهية التي تلقتها الشركة، باشرت الشركة أنشطة التجهيز والتعبئة للمشروعين، وتكبدت تكاليف متعلقة بالمشروعين، وأصدرت أوامر شراء، كما قامت بسداد دفعات مقدمة للموردين. وفي ظل عدم وجود عقود مبرمة حسب الأصول أو أي أدلة أخرى تثبت الحقوق والالتزامات القابلة للإنفاذ بين الأطراف، لم نتمكن من تحديد مدى قابلية استرداد التكاليف والدفعات المقدمة ذات الصلة، ومدى ملاءمة المعالجة المحاسبية لها، أو ما إذا كانت هناك حاجة إلى إجراء أي تعديلات أو إضافة إفصاحات في المعلومات المالية المرحلية المكثفة المجمعة المرفقة.

إستناداً إلى مراجعتنا، وباستثناء التأثير المحتمل للأمور المبينة في فقرة "أساس الإستنتاج المتحفظ"، فإنه لم يرد إلى علمنا ما يجعلنا نعتقد بأن المعلومات المالية المرحلية المكثفة المجمعة المرفقة لم يتم إعدادها، من كافة النواحي المادية، وفقا لمعيار المحاسبة الدولي رقم 34 "التقرير المالي المرحلي".

Qualified Conclusion

Based on our review, except for the possible effect of the matter described in the above “Basis for Qualified Conclusion”, nothing has come to our attention that causes us to believe that the accompanying interim condensed consolidated financial information is not prepared, in all material respects, in accordance with International Accounting Standard 34, “Interim Financial Reporting”.

The Company disclosed to Boursa Kuwait that Kuwait Airways Company, the ultimate parent company, had accepted the Company’s proposals for an ERP system project valued at KD 5,835,870 and for the management of infrastructure and information technology systems valued at KD 33,450,000. As at 30 June 2026, the formal contracts for both projects had not yet been signed. Based on written and verbal confirmations received from Kuwait Airways Company and the expected project commencement requirements, the Company commenced mobilisation activities, incurred certain project-related costs, placed purchase orders and made advance payments to suppliers in connection with these projects.

تعمل الشركة حالياً وبصورة جادة على استكمال الإجراءات الإدارية والتعاقدية المتبقية والمضي في توقيع العقدين مع شركة الخطوط الجوية الكويتية في أقرب فرصة ممكنة. وتجدر الإشارة إلى أن من ضمن أسباب التأخير الظروف والأحداث الاستثنائية الأخيرة التي مرت بها البلاد، وما ترتب عليها من تأثير على الأعمال التشغيلية في قطاع الطيران والتحديات التشغيلية التي واجهتها شركة الخطوط الجوية الكويتية خلال تلك الفترة.

وفيما يتعلق بمشروع نظام تخطيط موارد المؤسسة (ERP)، فقد استندت الشركة في المضي بالمشروع إلى عرض السعر المقدم منها والمتضمن الشروط والأسعار الخاصة بالمشروع، وموافقة شركة الخطوط الجوية الكويتية عليه والمضي في تنفيذ المشروع، وتعمل الشركة حالياً على استكمال الإجراءات الإدارية والتعاقدية المتبقية وصولاً إلى توقيع العقد النهائي.

أما فيما يتعلق بمشروع إسناد مهام إدارة البنية التحتية وأنظمة تقنية المعلومات، فإن جزءاً من الأعمال والتعاقدات التي تمت يقع ضمن نطاق عقود قائمة مع شركة الخطوط الجوية الكويتية، بما في ذلك عقد تقديم خدمات البنية التحتية وعقد توريد وشراء الأجهزة. أما الأجهزة والمستلزمات الأخرى التي تم شراؤها للمشروع، فقد تم اقتناؤها ضمن مخزون الشركة بشروط تجارية مناسبة، ويمكن الاستفادة منها في تنفيذ عقد الإسناد عند توقيعه، كما يمكن بيعها لعملاء آخرين في حال عدم إتمام التعاقد، بما يتيح للشركة إمكانية تحقيق عائد من بيعها

The Company is currently working diligently to complete the remaining administrative and contractual procedures and proceed with the signing of both contracts with Kuwait Airways Company at the earliest possible opportunity. It should be noted that the reasons for the delay include the recent exceptional circumstances and events experienced in the country, which affected the operational activities of the aviation sector and resulted in operational challenges for Kuwait Airways Company during that period.

With respect to the Enterprise Resource Planning (ERP) Project, the Company proceeded with the project based on its submitted commercial offer, which included the terms and pricing of the project, and Kuwait Airways Company’s approval of the offer and to proceed with the implementation of the project. The Company is currently completing the remaining administrative and contractual procedures leading to the signing of the final agreement.

With respect to the IT Infrastructure and Systems Management Outsourcing Project, part of the activities and commitments undertaken fall within the scope of existing contracts with Kuwait Airways Company, including the Infrastructure Services Agreement and the Equipment Supply and Purchase Agreement. Other equipment and items purchased for the project were acquired as part of the Company’s inventory on favorable commercial terms and may be utilized upon signing the outsourcing agreement. In the event that the agreement is not concluded, such equipment and items may be sold to other customers, providing the Company with the opportunity to generate a return from their sale.
